These Terms & Conditions ("Terms") constitute a legally binding agreement between you and Partner Library Management ("Partner", "we", "us" or "our") governing your access to and use of the Partner Library application, website, software, APIs and related services.

By creating an account, accessing or using the Service, you acknowledge that you have read, understood and agree to be bound by these Terms.

If you do not agree with these Terms, you must not access or use the Service.

1. Description of the Service

Partner is a cloud-based software platform designed to help libraries, study centers, coaching institutes, tuition classes, coworking spaces and similar organizations manage their day-to-day operations.

Depending on the selected plan and enabled features, the Service may include:

2. Eligibility & Account Registration

To use Partner, you represent and agree that:

We may refuse registration or restrict access where we reasonably believe that account information is false, misleading, fraudulent or otherwise violates these Terms.

3. Account Security & User Responsibilities

You are responsible for maintaining the security of your account and devices used to access the Service.

Administrators are authorized users designated by the organization to manage members, billing, attendance, staff, settings or other administrative functions.

4. Subscription, Billing & Payments

Certain Partner features may require an active paid subscription. Subscription plans, pricing, included features and billing intervals are displayed at the time of purchase or upgrade.

Where a subscription automatically renews, the applicable renewal frequency, price and material subscription terms will be presented during the purchase process.

You are responsible for maintaining a valid payment method and reviewing your subscription status and billing information.

5. Member / Student Fee Calculation

Partner does not itself collect membership fees from your members or students unless a separate payment feature is explicitly enabled. The application may provide tools that assist you in calculating, displaying and tracking fees according to rules configured by you.

Fee calculations, discounts, payment records, disputes, refunds, collection of member fees and compliance with applicable tax or business requirements remain the responsibility of the library, organization or account administrator.

5.1 Online Member Payments

Where online member payments are enabled, members may pay their outstanding fees through the supported payment provider, including Razorpay where available.

Important:

Automatic payment recording is intended to reduce manual entry after successful payment confirmation. Delays, interruptions or failures in payment processing or payment-status updates may occur due to connectivity, device, software or third-party service issues.

6. Cancellation, Suspension & Refunds

6.1 Cancellation

You may cancel your subscription using the cancellation mechanism provided for your purchase method.

Unless otherwise stated at the time of purchase or required by applicable law, cancellation generally prevents future renewal while allowing access to paid features until the end of the applicable billing period.

6.2 Refunds

Refund eligibility depends on the purchase method, applicable refund policy and applicable law.

For purchases made through Google Play, Google Play's applicable cancellation and refund procedures may apply. For direct purchases, our separate Refund Policy may apply.

6.3 Suspension

We may temporarily restrict or suspend access where reasonably necessary because of non-payment, security concerns, suspected abuse, unlawful activity or violation of these Terms.

7. Offline Mode & Data Synchronization

Certain versions of Partner may provide limited offline functionality to allow selected features to continue operating when an internet connection is unavailable.

You are responsible for maintaining appropriate backups or records where the information is important to your business.

8. Information Accuracy & Reports

Reports, analytics, attendance summaries, fee calculations and other outputs generated by Partner depend on information entered, imported or configured by you or your authorized users.

You are responsible for reviewing important records and verifying information before relying on it for financial, administrative, attendance, academic or business decisions.

We do not guarantee that user-entered information or automatically generated reports will always be complete, current or error-free.

We continuously improve Partner and may modify, add, remove, restrict or discontinue features, plans, APIs, quotas, integrations or other components of the Service.

Changes may be required for security, legal, technical, operational or business reasons.

Where reasonably appropriate, we may provide notice of material changes through the application, website, email or other available communication channels.

11. Termination & Suspension

We may suspend or terminate an account where reasonably necessary, including in cases involving:

Where applicable, data may remain subject to our Privacy Policy, retention requirements, legal obligations and the organization's applicable data-management responsibilities.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Partner Library Management and its affiliates, licensors and service providers will not be liable for indirect, incidental, special, consequential or punitive damages arising from or related to the use of, or inability to use, the Service.

This includes, where legally permitted, loss of profits, revenue, business opportunities, goodwill, data or anticipated savings.

We are also not responsible for interruptions or failures caused by circumstances beyond our reasonable control, including third-party service failures, connectivity problems, device failures, malware, unauthorized access or force majeure events.

To the maximum extent permitted by applicable law, our aggregate liability arising out of or relating to the Service will not exceed the amount actually paid by you to Partner for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

13. Intellectual Property

Partner and its licensors retain all rights, title and interest in the Service and its components, including software, source code, databases, user interfaces, graphics, designs, logos, trademarks, documentation and other proprietary materials.

Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable and revocable right to use the Service for its intended business purpose.

No ownership rights are transferred to you by using the Service.

14. Third-Party Services & Dependencies

Partner may rely on third-party infrastructure, payment providers, communication services, mapping services, analytics tools, app-store services and other external dependencies.

A failure or delay caused solely by an independent third-party service does not automatically constitute a breach of these Terms by Partner.

15. Public Library / Center Listings

Where Partner provides a public directory or listing feature, participating organizations may choose to publish selected business information.

Depending on the selected configuration, public information may include:

You are responsible for ensuring that published information is accurate, lawful and not misleading.

We may remove or restrict listings that are misleading, unlawful, abusive, fraudulent or otherwise inconsistent with these Terms.

By using the Service, you may receive service-related communications necessary to operate your account.

17. Force Majeure

We will not be responsible for delays, interruptions or failures caused by circumstances beyond our reasonable control.

Such circumstances may include natural disasters, pandemics, war, terrorism, civil unrest, government actions, widespread internet or infrastructure outages, telecommunications failures, cyber incidents, power failures or failures of third-party infrastructure.

During such events, affected obligations may be delayed, limited or temporarily suspended to the extent reasonably necessary.

18. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided on an "AS IS" and "AS AVAILABLE" basis.

We do not warrant that the Service will always be uninterrupted, error-free, completely secure, continuously available or suitable for every particular business requirement.

Nothing in these Terms excludes or limits any warranty, right or protection that cannot lawfully be excluded or limited under applicable law.

19. Governing Law & Jurisdiction

These Terms are governed by and interpreted in accordance with the laws of India, without regard to conflict-of-law principles.

Subject to any mandatory rights available under applicable law, disputes arising out of or relating to these Terms or the Service will be subject to the jurisdiction of the competent courts in India.

20. Changes to These Terms

We may update these Terms from time to time to reflect changes in the Service, technology, business practices, security requirements or applicable law.

When we make material changes, we may update the "Last Updated" date and, where appropriate, provide notice through the application, website, email or other reasonable communication methods.

Your continued use of the Service after revised Terms become effective constitutes acceptance of the updated Terms, subject to applicable law.

22. Passcode & Biometric Security

Partner may provide optional device-level security features such as a passcode lock and biometric authentication.

You are responsible for maintaining the security of your device and authentication methods.
